Terms & Conditions

These Terms and Conditions ("Terms") govern the use of this website and the engagement of design and engineering services provided by Theo Grandy, doing business as Nuanced Design ("we," "us," or "our"), to any client or visitor ("you"). By using this Site or engaging our services, you agree to these Terms.

1. Services

Nuanced Design provides UI/UX design, product design, web development, and related digital services. The scope, timeline, deliverables, and fees for any project are defined in a separate written agreement (proposal, statement of work, or contract) between Nuanced Design and the client. These Terms are supplemental to and do not supersede any such project agreement.

2. Payment

• Project engagements typically require a deposit before work begins, with the balance due upon completion or per milestone as outlined in the project agreement.
• Invoices are due within 14 calendar days of receipt unless otherwise agreed in writing.
• Late payments may incur a 1.5% monthly service charge on the outstanding balance.
• Work product is not transferred or licensed to the client until all invoices are paid in full.

3. Intellectual Property

Upon receipt of full payment, Nuanced Design grants the client a perpetual, non-exclusive license to use the final deliverables for their intended purpose. Nuanced Design retains the right to display work in its portfolio and promotional materials unless the client requests confidentiality in writing prior to project start.

All preliminary concepts, drafts, and work product not selected or paid for remain the sole property of Nuanced Design.

4. Revisions and Scope

Revisions within the agreed scope are included per the project agreement. Work outside the defined scope will be quoted and billed separately at the current hourly or project rate. Significant scope changes require a written change order before work proceeds.

5. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely content, feedback, and approvals.
• Ensure you have the right to use any materials (images, text, trademarks) you supply to us.
• Designate a single point of contact with decision-making authority to avoid conflicting direction.

Delays caused by late client feedback or approvals may affect timelines and are not the responsibility of Nuanced Design.

6. Cancellation

Either party may terminate a project engagement with 14 days written notice. In the event of cancellation, the client is responsible for payment of all work completed to date. Deposits are non-refundable.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Nuanced Design's total liability to you for any claim arising from these Terms or any project engagement shall not exceed the total fees paid by you for the project giving rise to the claim. In no event shall Nuanced Design be liable for indirect, incidental, special, consequential, or punitive damages.

8. Site Use

This Site is provided for informational purposes. You agree not to use the Site in any unlawful manner or in a way that could damage, disable, or impair the Site or interfere with any other party's use of it. We reserve the right to modify or discontinue the Site at any time without notice.

9. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Broome County, New York.

10. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site or services after any update constitutes acceptance of the revised Terms.
